These Terms and Conditions (“Terms”) govern the use of the Website https://navin.be and all services provided by NAVIN (“we”, “us”, or “our”), a marketing consultancy based in Antwerp, Belgium. By accessing our Website or using our services, you agree to be bound by these Terms. If you disagree with any part, you should discontinue use of our Website and services.

• Represent that you are authorized to enter into binding agreements on behalf of that business

4. Description of Services
NAVIN provides professional marketing consultancy services, which may include:

All services are offered exclusively to businesses (B2B) and subject to written agreement or project proposal.
5. Proposals and Agreements
• All quotations and proposals provided by NAVIN are valid for 30 days unless otherwise stated.
• A formal project begins upon written approval (email or signed proposal) from the client.
• Any additional work outside the agreed scope will be quoted and billed separately.
• NAVIN may subcontract specific tasks under confidentiality and data protection terms consistent with GDPR requirements.
6. Fees and Payments
a. Fees are communicated in writing via proposal or invoice.
b. Payment terms are 30 days net from invoice date, unless otherwise agreed.
c. Late payments may incur interest at the legal Belgian commercial rate plus administrative fees.
d. NAVIN reserves the right to suspend or terminate services in case of delayed payment.
e. All amounts are exclusive of VAT unless otherwise stated.
7. Client Responsibilities
Clients agree to:
• Provide accurate and timely information necessary for performing contracted services.
• Appoint a contact person to facilitate communication and approvals.
• Comply with applicable laws, including advertising, data protection, and competition regulations.
• Obtain any required permissions for data or content shared with NAVIN.
Failure to fulfill these obligations may delay or hinder project completion.
8. Intellectual Property Rights
Unless otherwise agreed in writing:
• NAVIN retains copyright and intellectual property rights for all created materials, strategies, and systems.
• Upon full payment, clients receive a non-exclusive, perpetual license to use deliverables for internal business purposes only.
• Clients may not sell, redistribute, or claim ownership of creative, strategic, or technical outputs without consent from NAVIN.
• Marketing materials featuring client references may be used by NAVIN for portfolio or case study purposes, unless explicitly objected to in writing.
9. Confidentiality
Both parties agree to treat all information shared during collaboration as confidential, including business strategies, client data, and internal documents. Confidentiality obligations remain in effect for five (5) years following termination of any contract or project unless otherwise required by law.
10. Data Protection

11. Limitation of Liability
To the maximum extent permitted by law:
• NAVIN’s total liability for any claim arising out of service provision shall not exceed the total amount paid by the client for the specific project concerned.
• NAVIN shall not be liable for indirect, incidental, or consequential damages such as lost profits, revenue, or data, even if advised of the possibility of such damages.
• NAVIN is not responsible for errors or issues in third-party systems (e.g., Google, Meta, LinkedIn, or hosting providers).
12. Termination
Each party may terminate a project or ongoing agreement:
• With 30 days’ written notice for open-ended or retainer contracts.
• Immediately, in the event of a breach of these Terms not remedied within 14 days of written notice.
• If the other party enters insolvency, bankruptcy, or ceases business operations.
Any fees for work completed up to the termination date remain payable in full.
13. Force Majeure
NAVIN shall not be liable for failure or delay in performance due to events beyond its reasonable control, including acts of God, strikes, network outages, pandemics, or government restrictions. Deadlines may be extended accordingly without penalty.
14. Governing Law and Jurisdiction
These Terms are governed by Belgian law. Any disputes arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Antwerp, Belgium.
